Version: 1.0 | Date: 15 September 2026

1. About these terms and about us

1.1. These terms of service ("Terms") apply to your use of the Insify website for Ireland and to the services provided by, and agreements entered into with, Insify B.V. (Dutch Chamber of Commerce no. 77842103) and Insify NLD Agent B.V. (Dutch Chamber of Commerce no. 80084036), both private limited companies under Dutch law with their registered office at Weesperplein 4B, 1018 XA Amsterdam, the Netherlands (together "Insify", "we", "us" or "our"). Both companies are part of the Insify group.

1.2. Insify B.V., trading as Insify, is licensed by the Dutch Authority for the Financial Markets in the Netherlands and is regulated by the Central Bank of Ireland for consumer protection rules.

1.3. Insify B.V. holds licence number 12047432 from the Dutch Authority for the Financial Markets (AFM); Insify NLD Agent B.V. operates under that licence. We provide insurance distribution services in Ireland on a freedom of services basis in accordance with the European Union (Insurance Distribution) Regulations 2018, and we appear on the register of European Economic Area (EEA) intermediaries maintained by the Central Bank of Ireland. You can verify our status at registers.centralbank.ie and at www.afm.nl. In providing regulated activities in Ireland, we are subject to codes of conduct and regulations of the Central Bank of Ireland which offer protection to consumers and which can be found at www.centralbank.ie.

1.4. Where these Terms refer to "you" or "customer", we mean any business or consumer that uses our website or services, or that enters into an agreement with us. Where these Terms or applicable law give rights to consumers, "consumer" has the meaning given by applicable law.

1.5. Any deviation from these Terms is valid only if expressly agreed in writing (including by email).

1.6. If you are a business customer, your own purchasing or other general terms and conditions do not apply to our services.

1.7. Our website disclaimer forms part of these Terms. Our privacy statement and cookie statement describe how we process personal data and use cookies; they are provided for your information and do not form part of the contract between us.

1.8. If any provision of these Terms is or becomes invalid, unenforceable or not binding on you under applicable law, that provision will not bind you to that extent, and the remaining provisions will continue in full force and effect.

1.9. We may amend these Terms from time to time for valid reasons, including changes in law or regulation, changes to our services or products, security or operational requirements, or the correction of errors. We will give you at least 30 days’ prior notice in writing or by email of any change that is material to you, unless a shorter period is required by law or regulation. The notice will include the revised Terms and will set out particulars of the changes and of the position before the changes, so that you can compare them. If you do not accept a material change, you may terminate the affected services free of charge before the change takes effect. Changes do not affect insurance contracts already concluded, except as provided in the relevant policy terms or by law. We may make changes that are not material to you (such as clarifications, corrections of typographical errors or changes in your favour) with effect from publication of the updated Terms on our website.

1.10. In the event of any conflict between these Terms and the terms of an insurance policy (including the policy schedule and the insurance product information document (IPID)), the policy terms prevail in respect of the insurance contract.

1.11. These Terms are drawn up in English and we will communicate with you in English.

1.12. These Terms are also our terms of business for the purposes of the Central Bank of Ireland’s consumer protection framework. They came into effect on September 15, 2026 and remain up to date.

2. Our services and our status

2.1. Through our website you can take out insurance. We are not an insurer. We act as an insurance intermediary and, for certain insurers, as an underwriting agent under a delegated authority.

2.2. Where we act as insurance intermediary, we assist in arranging an insurance contract between you and an insurer. The insurance contract is concluded directly between you and the insurer, and we are not a party to it.

2.3. Where we act under a delegated authority from an insurer, we may, on that insurer’s behalf, issue and administer policies, collect premiums and handle claims. Where you take out insurance directly through our website, these activities are performed by us on the insurer’s behalf. When performing these activities we act as agent of the insurer and not as your agent. Claims under your policy may be administered by a third party claims administrator appointed on behalf of the insurer; details are set out in your policy documents.

2.4. We provide our services on a non-advised basis. Before an insurance contract is concluded we will ask you questions in order to identify your demands and needs, and we will only propose products that are consistent with them. Unless we expressly state otherwise, we do not provide you with advice or a personal recommendation on the suitability of a product. You are responsible for deciding whether a product meets your requirements.

2.5. Before you take out a policy we will tell you the identity of the insurer and provide you with the applicable pre-contractual information, including the IPID and the policy terms.

2.6. If you have taken out insurance through us, you can always contact us with questions about, or changes to, your insurance. The extent to which we can assist depends on our role and our arrangements with your insurer, but we will always do our best to help you.

2.7. We maintain a conflicts of interest policy designed to identify and manage conflicts that may arise in providing our services. A summary is set out in clause 2.9.

2.8. We provide our services on a limited analysis of the market and not on a fair analysis of the market. A fair analysis means providing services on the basis of a sufficiently large number of contracts and insurers available on the market to enable a recommendation, in accordance with professional criteria, of which contract would be adequate to meet your needs. A limited analysis means providing services on the basis of a limited number of contracts and insurers. For business non-life insurance, we are tied to Axeria IARD and we distribute the products of that insurer only.

2.9. Summary of our conflicts of interest policy: we are remunerated by insurers as described in clause 5, and we do not accept fees, commissions or other rewards linked to targets that disregard your best interests or that would conflict with our duties to you; our employees’ remuneration is structured so that it does not encourage offering or arranging products inconsistent with your interests; and where a conflict of interest cannot reasonably be avoided, we will only proceed where the conflict does not damage your interests. The full policy is available on request.

3. Information on our website

3.1. All quotes, offers and premiums shown on our website are indicative and without commitment until the insurance contract is concluded and confirmed. We take reasonable care to ensure that the information on our website is accurate, clear and not misleading. Manifest errors or obvious mistakes in prices or other information do not bind us; where we identify such an error before a contract is concluded, we will inform you and give you the opportunity to proceed at the correct terms or to withdraw. Nothing in this clause limits your statutory rights.

3.2. Our website may contain information made available by third parties (such as insurers) or links to third party websites. We take reasonable care in selecting this information but, to the extent permitted by law, we are not responsible for the accuracy or completeness of information originating from third parties.

3.3. The content of our website (including text, design, logos, software and data) is protected by intellectual property rights held by Insify or its licensors. We grant you a limited, non-exclusive and non-transferable right to use the website and your Insify account for the purpose of arranging and managing your insurance. You may not use our name or trade marks without our prior written consent.

3.4. You must not misuse our website or account environment. In particular, you must not: (a) use them for unlawful purposes; (b) attempt to gain unauthorised access to our systems or data; (c) introduce malicious software; or (d) extract or reuse substantial parts of the website content by automated means (known as scraping) without our prior written consent. We may suspend access in the event of misuse; clause 6.3 applies.

4. Your obligations

4.1. When applying for insurance, and when renewing or amending it, you must answer all questions posed by us or the insurer honestly and with reasonable care. We also encourage you to tell us anything else you think we should know about your business or your insurance. It helps us and the insurer look after you. And as a business customer that falls outside the Consumer Insurance Contracts Act 2019 must in addition disclose all circumstances material to the risk.

4.2. If information you provide is incorrect or incomplete, this may affect your cover and any claim. The consequences are determined by your policy terms and applicable law.

4.3. You are responsible for the use made of your Insify account. We recommend that you use a unique password and keep it strictly confidential. You must notify us without delay if you suspect unauthorised use of your account.

4.4. So that we and the insurer can service your policy properly, please inform us promptly of changes to your personal or business details (such as contact details, business activities or other circumstances relevant to your insurance), where and to the extent your policy or these Terms require this.

5. Fees, charges and payment

5.1. We are remunerated as follows:

5.1.1. For arranging non-life insurance as insurance intermediary, we receive commission from the insurer. This commission is included in the premium and is paid to us directly by the insurer.

5.1.2. For acting as underwriting agent under a delegated authority, we receive remuneration from the insurers we work with. This remuneration is included in the premium and is paid to us by those insurers.

5.1.3. For as long as you hold insurance through us, we charge a platform fee of €[2.99] per month including value added tax (VAT) if you are a consumer, and €[2.99] per month excluding VAT if you are a business customer. This fee relates to our investment in building, maintaining and developing our platform and is separate from the insurance you take out through us. Any fee we charge you will be disclosed to you before you enter into a contract with us.

5.2. Further information on the nature of our remuneration arrangements with insurers is available here.

5.3. We may change our fees from time to time. We will notify you of any change in writing or by email at least 30 days in advance. If you do not accept a fee increase, you may terminate the affected service free of charge before the change takes effect.

5.4. Invoices are payable within the agreed payment term or, if none is agreed, within 14 days of the invoice date. Business customers must pay without suspension or set-off.

5.5. Please be aware that failure to pay premiums or other amounts when due may result in your insurance being suspended or cancelled by the insurer, subject to the notice requirements in your policy and applicable law, and that you may remain liable for premium in respect of any period during which the insurer was on risk.

5.6. If you fail to pay within the payment term, we may charge interest at the applicable statutory rate and reasonable costs actually incurred in recovering the debt. For business customers, interest and compensation for recovery costs are instead payable in accordance with the European Communities (Late Payment in Commercial Transactions) Regulations 2012.

5.7. If you are a business customer, all our claims against you become immediately due and payable in the event of your liquidation, receivership, examinership, entry into a statutory rescue process, bankruptcy, an attachment of your assets, or any analogous event.

5.8. Payments you make will be applied first to any interest due, then to recovery costs, and finally to the outstanding principal.

5.9. Where we collect premium on behalf of an insurer under a delegated authority, payment of premium by you to us is treated as payment to the insurer. Claims monies and premium refunds that an insurer pays to us for onward payment to you are treated as paid to you only once you have actually received them.

6. Our responsibilities and limitations of liability

6.1. We will provide our services with reasonable skill and care. Our engagements are obligations to use reasonable endeavours and not obligations to achieve a specific result.

6.2. We may have our services performed in whole or in part by third parties. We remain responsible towards you for the performance of our regulated services, and the involvement of third parties does not reduce your rights under these Terms or under applicable law.

6.3. We may suspend or terminate our services to you, in whole or in part, if: (a) you materially breach these Terms and, where the breach can be remedied, fail to remedy it within a reasonable period after notice; (b) we are required to do so by law or by a regulator; (c) there is fraud, abuse or a serious risk to the security or integrity of our systems; or (d) in the case of a business customer, you are subject to liquidation, receivership, examinership, a statutory rescue process, bankruptcy or any analogous event. Except in urgent cases, we will give you reasonable prior notice. Where insurance policies are affected, we will work with you and the insurer to ensure an orderly transfer or run-off of your cover.

6.4. We do not guarantee that our website will be accessible or fully functional at all times. Access may be interrupted, for example by technical faults or maintenance. Temporary unavailability of the website does not entitle you to terminate an agreement or to compensation, except where applicable law provides otherwise. If you notice a fault, please report it to us by email or telephone.

6.5. Where we act as insurance intermediary, we are not a party to the insurance contract between you and the insurer and we are not responsible for the performance or non-performance of the insurance contract by the insurer. Where we handle claims or administer policies on behalf of an insurer, we do so as the insurer’s agent and the insurer remains responsible for decisions on cover.

6.6. We are not liable for loss resulting from your providing us with late, incorrect or incomplete information, or from messages sent by you not reaching us in time, except to the extent the loss is caused by our failure to exercise reasonable skill and care.

6.7. If you are a business customer, we are not liable for indirect or consequential loss, including loss of profit, missed savings or business interruption.

6.8. If we are liable to you, our liability is limited to the amount paid out under our professional indemnity insurance in the matter concerned. If for any reason no payment is made under that insurance, our liability is limited to the fees you paid to us for the relevant service in the 6 months preceding the event giving rise to the liability, or €1,000 if higher. A series of connected events counts as a single event.

6.9. Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) liability, rights or remedies that cannot be excluded or limited under applicable law.

6.10. If you are a business customer and you are dissatisfied with our services, you must notify us within 1 year of the date on which you became aware, or ought reasonably to have become aware, of the grounds for your dissatisfaction, failing which any claim for compensation lapses.

7. Duration and ending our services

7.1. These Terms apply for as long as you use our website or services or hold insurance arranged through us.

7.2. You may stop using our services at any time. Ending our services does not by itself cancel your insurance: your policies continue, and can be cancelled or transferred, in accordance with their own terms. For products available exclusively through us, clause 7.5 applies.

7.3. We may end our services for the reasons set out in clause 6.3 or, in other cases, by giving you at least 60 days’ notice in writing or by email.

7.4. If our services end, we will cooperate with you, your insurer and any new insurance intermediary you appoint to ensure an orderly handover of your policies and any open claims.

7.5. Some insurance products are available exclusively through Insify and cannot be transferred to, or serviced by, another insurance intermediary. If our services end in respect of such a product, the policy cannot continue to be serviced. It is not cancelled automatically: it can only end in accordance with its own terms and applicable law, and the insurer may cancel it or decline to renew it on that basis. Where this applies: (a) we will tell you of the consequences before the ending of our services takes effect, so that you have the opportunity to arrange replacement cover; and (b) if the policy is cancelled before its expiry date, you will receive a proportionate refund of premium for the unexpired period, subject to the policy terms and applicable law. Claims notified before the policy ends will continue to be handled in accordance with the policy.

7.6. Our services, and any agreement under these Terms, end automatically when you no longer hold any insurance arranged through us and no claim under such insurance is still being handled. Any platform fee stops with effect from the end of the monthly period in which our services end. Claims validly notified under a policy after our services have ended will still be handled in accordance with that policy. After our services end, you can request copies of your policy documents from us, and these Terms continue to apply to any later use of our website or your Insify account.

7.7. Provisions which by their nature are intended to survive (including accrued payment obligations, limitations of liability, complaints handling and governing law) remain in effect after our services end.

8. Cancellation and cooling-off

8.1. Your right to cancel a policy, including any cooling-off period, is set out in your policy terms and in the pre-contractual information provided to you.

8.2. If you are a consumer, you are in any event entitled to cancel a non-life insurance policy concluded at a distance within the cooling-off period provided by law (in general, 14 working days under the Consumer Insurance Contracts Act 2019) without penalty. In that case the insurer may only charge a proportionate premium for any period during which you were on cover, together with any government levies incurred.

9. Complaints

9.1. If you have a complaint about our services, please contact us at complaints@insify.ie or through the contact options on our website. Our complaints procedure is available here. We will acknowledge your complaint promptly and keep you regularly informed of its progress. We aim to resolve complaints within 40 business days; if we cannot, we will explain why and indicate when we expect to be able to resolve it.

9.2. If you are not satisfied with the outcome of our complaints procedure, you may be entitled to refer your complaint, free of charge, to the Financial Services and Pensions Ombudsman (FSPO), Lincoln House, Lincoln Place, Dublin 2, D02 VH29, Ireland; telephone +353 1 567 7000; www.fspo.ie. The FSPO’s services are available to complainants that qualify under the Financial Services and Pensions Ombudsman Act 2017.

9.3. Complaints about a claims decision or other conduct of your insurer can be submitted through the insurer’s complaints procedure set out in your policy documents, and may also be referred to the FSPO.

10. Data protection

10.1. We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 and the Data Protection Act 2018. Information about how we process personal data, including your rights and how to exercise them, is set out in our privacy statement.

11. Communications

11.1. We communicate with you, and provide documents and information to you, electronically (including by email and through your Insify account), and you consent to this. Where the law entitles you to receive information on paper or on another durable medium, you may request this free of charge.

11.2. You are responsible for keeping the email address linked to your account up to date. Notices sent to that address are deemed to have been given to you.

11.3. We may record and monitor telephone calls and other communications for quality, training, security and compliance purposes, as described in our privacy statement.

11.4. You can contact us at support@insify.ie, by telephone at +353 19128695 or through the contact options on our website.

12. Other provisions

12.1. Events beyond our control. We are not liable for a failure or delay in performing our services caused by circumstances beyond our reasonable control, such as failures of power, telecommunications or third party systems, acts of government or industrial action. We will take reasonable steps to limit the effect on you. This clause does not affect the insurer’s obligations under your policy and is subject to clause 6.9.

12.2. Sanctions and financial crime. We may refuse, suspend or end services, or refuse or block a transaction, where this is required to comply with applicable sanctions, anti-money laundering or counter-terrorist financing laws. Where the law permits, we will inform you of the reason.

12.3. Transfer. We may transfer our rights and obligations under these Terms to another company in the Insify group, or to a third party in connection with a transfer of the relevant business or insurance portfolio, provided the transfer does not reduce your rights or the guarantees you have under these Terms. We will notify you of any such transfer. You may not transfer your rights or obligations under these Terms without our prior written consent, which we will not unreasonably withhold.

12.4. Business customer indemnity. If you are a business customer, you will compensate us for losses, costs and third party claims we incur as a result of your unlawful use of our website or services or your material breach of these Terms.

12.5. Entire agreement. These Terms, together with the documents referred to in them and the pre-contractual information we provide, set out the entire agreement between you and us in relation to our services. If you are a business customer, you confirm that you have not relied on any statement that is not set out or referred to in these Terms. Nothing in this clause limits liability for fraud or fraudulent misrepresentation or excludes anything that cannot lawfully be excluded.

12.6. No waiver. If we do not enforce a provision of these Terms, or delay in doing so, this is not a waiver of our right to enforce it later.

13. Governing law and jurisdiction

13.1. These Terms, and our services to customers in Ireland, are governed by the laws of Ireland.

13.2. The courts of Ireland have non-exclusive jurisdiction over disputes arising out of or in connection with these Terms or our services. If you are a consumer, this clause does not affect your right to bring or defend proceedings in the courts of the place where you live, or the protection of mandatory rules of the law of your country of residence.
